By accessing or using the Celevend platform ("Platform"), including our website at celevend.com, mobile applications, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use of the Platform immediately.
These Terms constitute a legally binding agreement between you and Celevend Technologies ("Celevend," "we," "us," or "our"), a company registered under the laws of the Federal Republic of Nigeria. By creating an account, making a booking, or listing services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
Celevend is an online marketplace that connects customers with vendors offering a wide range of event-related and lifestyle services across Nigeria. Our Services include:
Celevend acts as a marketplace facilitator. We are not a party to the agreements between customers and vendors, and we do not provide, perform, or guarantee any vendor services. Vendors are independent service providers and are solely responsible for the quality, safety, and legality of the services they offer.

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or are used for fraudulent purposes.
Vendors who register on the Platform agree to the following obligations:
Celevend charges a platform commission on each completed booking. The commission rate varies based on your subscription tier:
Commission is automatically deducted at the point of payment through Paystack's subaccount split system. The remaining amount is settled directly to your registered bank account by Paystack, typically within one business day (T+1). Celevend does not hold or process vendor funds.
Customers who use the Platform agree to:
All payments on the Platform are processed securely through Paystack, a licensed payment processor regulated by the Central Bank of Nigeria. Celevend does not store your card details or banking information. By making a payment, you agree to Paystack's terms of service.
Bookings require a deposit to confirm. The default deposit is 50% of the total booking amount, though vendors may set custom deposit percentages for their services. The remaining balance is due before the event date.
Bookings are categorised by urgency, which affects payment deadlines and cancellation windows:
When a customer makes a payment, Paystack automatically splits the transaction: the vendor's share (after commission) is settled directly to the vendor's bank account, and the platform commission is retained by Celevend. This happens at the point of transaction — Celevend never holds vendor funds.
All prices and payments on the Platform are in Nigerian Naira (NGN). Celevend does not currently support other currencies.
Customers may cancel bookings subject to the following windows:
Vendors may cancel bookings that are in "pending" or "confirmed" status. If a vendor cancels after a customer has paid, the customer is entitled to a full refund. Repeated vendor cancellations may result in account penalties or suspension.
Approved refunds are processed through Paystack. A processing fee of 5% may apply to refunds. Refund timelines depend on the customer's bank or card issuer, typically 5–10 business days.
If you are dissatisfied with a service or believe a refund is warranted, you may raise a dispute through the Platform. Celevend will review the dispute and may mediate between the customer and vendor. Our decision on disputes is made in good faith and aims to be fair to both parties.
Vendors may access premium features through paid subscription plans. Current tiers are:
Vendor identity verification (NIN or BVN) is free and separate from the subscription system. Verification earns a trust badge on your profile and is strongly encouraged but not required to list services.
You agree not to:
Celevend reserves the right to suspend or terminate your account at our discretion if you:
Where possible, we will provide notice before suspending or terminating your account. In cases of serious misconduct or fraud, we may act immediately without prior notice.
You may close your account at any time by contacting support@celevend.com. Account closure does not release you from any outstanding obligations, including pending bookings or unpaid fees.
All content, features, and functionality of the Platform — including the Celevend name, logo, brand colours, software, text, graphics, and design — are the property of Celevend Technologies and are protected by Nigerian and international intellectual property laws.
By posting content on the Platform (such as service photos, descriptions, or reviews), you grant Celevend a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with the Platform and its promotion. You retain ownership of your content.
You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our written permission.
Celevend acts as a marketplace facilitator and is not a party to agreements between customers and vendors. To the maximum extent permitted by law:
You use the Platform at your own risk. We encourage customers to review vendor profiles, ratings, and reviews before making bookings.
You agree to indemnify, defend, and hold harmless Celevend Technologies, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004).
Nothing in this clause prevents either party from seeking urgent injunctive relief from the courts of Lagos State, Nigeria.
Celevend reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you should discontinue use and close your account.
