Terms of Service

Please read these terms carefully before using the Celevend platform.

1. Acceptance of Terms

By accessing or using the Celevend platform ("Platform"), including our website at celevend.com, mobile applications, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use of the Platform immediately.

These Terms constitute a legally binding agreement between you and Celevend Technologies ("Celevend," "we," "us," or "our"), a company registered under the laws of the Federal Republic of Nigeria. By creating an account, making a booking, or listing services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

Celevend is an online marketplace that connects customers with vendors offering a wide range of event-related and lifestyle services across Nigeria. Our Services include:

  • A web platform for browsing, comparing, and booking vendors
  • Mobile applications for customers and vendors (iOS and Android)
  • In-app messaging between customers and vendors
  • Event planning tools including budgets, checklists, guest lists, and collaboration
  • Secure payment processing through our payment partner, Paystack
  • Vendor identity verification through our verification partner, Smile Identity
  • Review and rating system for completed bookings

Celevend acts as a marketplace facilitator. We are not a party to the agreements between customers and vendors, and we do not provide, perform, or guarantee any vendor services. Vendors are independent service providers and are solely responsible for the quality, safety, and legality of the services they offer.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Keep your login credentials confidential and not share them with third parties
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately at support@celevend.com if you suspect unauthorized access
  • Use only one account per person — duplicate accounts may be suspended

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or are used for fraudulent purposes.

4. Vendor Responsibilities

Vendors who register on the Platform agree to the following obligations:

Service Listings

  • Provide accurate, truthful descriptions of all services and pricing
  • Keep service listings, availability, and pricing up to date
  • Only list services you are legally permitted and qualified to provide
  • Use only original photos and content you have the right to use
  • Maintain appropriate licenses, permits, and insurance for your services where applicable

Booking Fulfilment

  • Honour all confirmed bookings and deliver services as described
  • Respond to customer inquiries and booking requests in a timely manner
  • Communicate proactively if any issues arise that may affect service delivery
  • Maintain professional conduct in all interactions with customers

Platform Commission

Celevend charges a platform commission on each completed booking. The commission rate varies based on your subscription tier:

  • Free tier: 8% commission per booking
  • Basic tier: 5% commission per booking
  • Pro tier: 3% commission per booking

Commission is automatically deducted at the point of payment through Paystack's subaccount split system. The remaining amount is settled directly to your registered bank account by Paystack, typically within one business day (T+1). Celevend does not hold or process vendor funds.

5. Customer Responsibilities

Customers who use the Platform agree to:

  • Provide accurate information when making bookings, including event dates, locations, and requirements
  • Honour confirmed bookings and payment commitments
  • Communicate any changes to booking requirements promptly
  • Treat vendors with respect and professionalism
  • Provide honest, fair, and factual reviews of services received
  • Not misuse the Platform to harass vendors, submit false bookings, or engage in fraudulent activity
  • Pay all applicable fees, including deposits and balance payments, in accordance with the booking terms

6. Payments and Fees

Payment Processing

All payments on the Platform are processed securely through Paystack, a licensed payment processor regulated by the Central Bank of Nigeria. Celevend does not store your card details or banking information. By making a payment, you agree to Paystack's terms of service.

Deposit Structure

Bookings require a deposit to confirm. The default deposit is 50% of the total booking amount, though vendors may set custom deposit percentages for their services. The remaining balance is due before the event date.

Booking Types

Bookings are categorised by urgency, which affects payment deadlines and cancellation windows:

  • Standard bookings: Event date is 7 or more days away. Unpaid bookings expire after 24 hours.
  • Short-notice bookings: Event date is 2–6 days away. Unpaid bookings expire after 6 hours.
  • Urgent bookings: Event date is within 48 hours. Full payment is required upfront. Unpaid bookings expire after 2 hours.

How Payments Are Split

When a customer makes a payment, Paystack automatically splits the transaction: the vendor's share (after commission) is settled directly to the vendor's bank account, and the platform commission is retained by Celevend. This happens at the point of transaction — Celevend never holds vendor funds.

Currency

All prices and payments on the Platform are in Nigerian Naira (NGN). Celevend does not currently support other currencies.

7. Cancellation and Refund Policy

Customer Cancellations

Customers may cancel bookings subject to the following windows:

  • Standard bookings (7+ days out): Full refund of deposit if cancelled more than 24 hours after booking confirmation. Refund eligibility decreases as the event date approaches.
  • Short-notice bookings (2–6 days out): Partial refund may be available depending on timing.
  • Urgent bookings (within 48 hours): Generally non-refundable, as vendors have already committed resources.

Vendor Cancellations

Vendors may cancel bookings that are in "pending" or "confirmed" status. If a vendor cancels after a customer has paid, the customer is entitled to a full refund. Repeated vendor cancellations may result in account penalties or suspension.

Refund Processing

Approved refunds are processed through Paystack. A processing fee of 5% may apply to refunds. Refund timelines depend on the customer's bank or card issuer, typically 5–10 business days.

Disputes

If you are dissatisfied with a service or believe a refund is warranted, you may raise a dispute through the Platform. Celevend will review the dispute and may mediate between the customer and vendor. Our decision on disputes is made in good faith and aims to be fair to both parties.

8. Vendor Subscriptions

Vendors may access premium features through paid subscription plans. Current tiers are:

  • Free: 8% commission, up to 3 service listings, up to 6 images per service
  • Basic (₦5,900/month): 5% commission, up to 10 service listings, up to 15 images per service, video uploads
  • Pro (₦19,900/month): 3% commission, unlimited service listings, unlimited images per service, video uploads, priority support

Billing

  • Subscriptions are billed monthly through Paystack
  • Subscriptions auto-renew unless cancelled before the next billing date
  • Subscription payments are non-refundable for the current billing period
  • If a subscription expires or is downgraded, service listings exceeding the new tier's limits will be hidden (not deleted) until the subscription is renewed or upgraded

Identity Verification

Vendor identity verification (NIN or BVN) is free and separate from the subscription system. Verification earns a trust badge on your profile and is strongly encouraged but not required to list services.

9. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of Nigerian law
  • Post false, misleading, or deceptive content
  • Impersonate another person or entity
  • Harass, threaten, or abuse other users
  • Attempt to circumvent Platform fees by arranging direct payments outside the Platform
  • Scrape, crawl, or use automated tools to extract data from the Platform
  • Upload malicious code, viruses, or harmful content
  • Manipulate reviews or ratings
  • Create multiple accounts to evade suspensions or restrictions
  • Interfere with the proper operation of the Platform

10. Account Suspension and Termination

Celevend reserves the right to suspend or terminate your account at our discretion if you:

  • Violate these Terms or any applicable laws
  • Engage in fraudulent, abusive, or deceptive behaviour
  • Receive repeated complaints or negative feedback indicating a pattern of poor conduct
  • Fail to fulfil confirmed bookings without reasonable justification (vendors)
  • Fail to pay outstanding fees or charges

Where possible, we will provide notice before suspending or terminating your account. In cases of serious misconduct or fraud, we may act immediately without prior notice.

You may close your account at any time by contacting support@celevend.com. Account closure does not release you from any outstanding obligations, including pending bookings or unpaid fees.

11. Intellectual Property

All content, features, and functionality of the Platform — including the Celevend name, logo, brand colours, software, text, graphics, and design — are the property of Celevend Technologies and are protected by Nigerian and international intellectual property laws.

By posting content on the Platform (such as service photos, descriptions, or reviews), you grant Celevend a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with the Platform and its promotion. You retain ownership of your content.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our written permission.

12. Limitation of Liability

Celevend acts as a marketplace facilitator and is not a party to agreements between customers and vendors. To the maximum extent permitted by law:

  • We do not guarantee the quality, safety, legality, or timeliness of vendor services
  • We are not responsible for disputes between customers and vendors, though we may assist in mediation
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability to you for any claim arising from your use of the Platform shall not exceed the total fees you have paid to Celevend in the 12 months preceding the claim
  • We do not guarantee uninterrupted, error-free, or secure access to the Platform

You use the Platform at your own risk. We encourage customers to review vendor profiles, ratings, and reviews before making bookings.

13. Indemnification

You agree to indemnify, defend, and hold harmless Celevend Technologies, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004).

Nothing in this clause prevents either party from seeking urgent injunctive relief from the courts of Lagos State, Nigeria.

15. Modifications to Terms

Celevend reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you should discontinue use and close your account.
